Open Company (LLC) in Uzbekistan

A Limited Liability Company (LLC) is the most common legal business structure in the Republic of Uzbekistan. It offers convenience in business operations, legal protection for its founders, and favorable tax conditions. According to the Law “On Limited Liability Companies,” the founders (also called participants) are not personally liable for the company’s obligations — they are only liable within the limits of their contributions (charter capital).

Key Features:

1. Founders:

  • Both individuals and legal entities can establish an LLC.
  • Residents of Uzbekistan and foreign nationals or companies (non-residents) are allowed to participate.
  • If a foreign legal entity owns more than 15% of the shares, the minimum charter capital must be 400,000,000 UZS.
  • The number of founders can range from 1 to 50.

2. Charter Capital:

  • There is no legally fixed minimum charter capital — founders define the amount based on their business needs or licensing requirements.
  • Contributions may be made in cash or in-kind assets such as buildings, equipment, or vehicles.
  • The full charter capital must be paid within one year from the date of state registration.

3. Taxation of Dividends

4. Legal Status:

  • An LLC can enter into contracts, own property, and act as a plaintiff or defendant in court under its own name.

5. Registration Procedure:

To establish an LLC, the following steps are required:

  • Open a bank account;
  • Collect founder documents (passport or company charter);
  • Choose and register the company name;
  • Draft founding documents (charter);
  • Register through the Ministry of Justice;
  • Register with tax authorities and statistical bodies
  • Hold legal adress
